Increasing complexity in the Boardroom, coupled with a demand and desire to effectively discharge roles, duties, responsibilities, and accountabilities, has led to a situation where many are unclear of their role. HIM Governance can develop internally tailored codes of corporate governance and easily accessible handbooks/manuals for any board’s implementation. Coupled with a review and clarification of board operations, these documents can serve as an ongoing reference guide to your organisation, as well as institutionalizing and sustaining board work.

Board handbooks and manuals provide Board members with accessible understandings of existing Board policies and practices. The emphasis is on accessibility and practicality. Internal codes, handbooks and manuals do not purport to expound all there is to good governance but are a reflection of the Board’s view of how it should  make policy decisions and practise at Board level under its present circumstances and context.

Internal codes, handbooks and manuals:

  • provide a set of agreed written governance framework, policies and processes to guide the effective conduct of the Board’s business;
  • provide sufficient readily available information to a newly-appointed Board member to enable him/her to carry out his/her duties and responsibilities accordingly;
  • facilitate the provision of equal information to all Board members and relevant stakeholders and hence a shared understanding of corporate governance and team-building throughout the organisation;
  • ensure that Board members understand all matters reserved to the Board, Chairman and committees and are positioned to handle strategic and crisis situations whenever they arise; and
  • provide an opportunity for governance or governance-related issues to be raised and decided upon, from time to time, during regular Board or committee meetings and reviews so as to sustain or improve the governance environment of the organization.

The introduction of the Singapore Code of Corporate Governance 2005 means that firms should be implementing changes for announcement at AGMs from January 1st 2007.
