The Science Centre Board asked HIM Governance to enhance their corporate governance through the creation of a code of corporate governance. HIM Governance provided consultation to the board of the Singapore Science Centre leading to the development of a Code of Corporate Governance. This involved interviews with individual directors & CEO, and the facilitation of focus group discussions for Board & senior management. Following this successful project, HIM Governance worked with the board to develop a Directors’ Handbook. The Handbook covers areas of responsibility, accountability, and an overview of legislative and regulatory responsibilities. - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - The Flextech Holdings Ltd group of companies and affiliates includes 55 subsidiaries, employing over 500 people in 10 countries. Flextech asked HIM Governance to help them better understand the challenges that companies face as a result of multiple geographic operations. Making use of case-studies, HIM Governance delivered an in-house training session to Flextech. The session aimed at creating awareness amongst participants of the issues and challenges faced by listed companies in Singapore, including those that have subsidiaries in other countries. The sessions discussed the possible impact subsidiaries may have on the parent company, its board and its directors that holding companies should be mindful of, in the context of meeting requirements as stipulated in law, the Singapore Exchange (SGX) listing manual, and the Singapore Code of Corporate Governance. - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - The Jakarta International School is an Indonesian Yayasan (not-for-profit organization) overseen by a Board of Governors and a School Council. The school educates student from over 60 countries, and has a teaching staff of over 260 representing some 20 nationalities. In 2004, the Jakarta International School made a commitment to enhance corporate governance, and asked HIM Governance to advise them on the implementation of the Policy Governance model. We advised the School on the implementation of the Policy Governance model, leading to the creation of Ends documents and a Board Policy Document. The implementation involved an on-site, two day, facilitation programme among Board members and executive officers, whereby Council members were guided through the development of policies and ends documents. The process is ongoing, involving constant evaluation and monitoring, and we are delighted to retain a strong relationship with the school. - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - Institute of Management Consultants The Institute Of Management Consultants (Singapore) is an independent non-profit professional organization, with the aim of promoting the skills and knowledge of management consultancy. HIM Governance was asked to provide teaching for the corporate governance course offered by the Institute. The course aimed to develop a useful level of understanding on Corporate Governance and key contemporary issues. The sessions focused on ways in which participants can handle CG issues in the line of their work. Topics for discussion included the development of company law, an overview of the current corporate governance environment and relevant corporate governance legislation and guidance, and the functions of the board. - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - The NTUC is a national federation of trade unions in Singapore, with 64 trade unions and 6 associations affiliated to it. HIM Governance delivered an internal workshop on Policy Governance and strategy to the National Trade Union Congress, providing awareness of the Policy Governance model and its applications. The workshop included facilitator-led sessions that were aimed at developing ENDS statements as a suggested framework for owners, boards and management to tackle vision, mission, and strategy issues. The workshop encouraged participants to analyse and consider the role of the Board in decision making, and relationships with beneficial and moral owners. - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - Aiming to promote the highest standards in Chartered Secretaryship, the Singapore Association of the Institute of Chartered Secretaries and Administrators (SAICSA) is affiliated to the London-based Institute of Chartered Secretaries and Administrators, and comprises members, graduates and registered students of the Institute residing in Singapore. The introduction of the Singapore Code of Corporate Governance 2005 means that firms should be implementing changes for announcement at AGMs from January 1st 2007.
